Maintaining Confidentiality During A Sale When you’re thinking of selling your accounts or business, maintaining confidentially is vital. The last thing you want is for your employees, competitors and customers to know that you are considering a sale. There is too much uncertainty during the process for it to be carried out publicly. Employees will worry that they’ll lose their jobs, so they may leave you for another company. Your customers will worry about keeping their systems operating and monitored, and you’ll see increased attrition from your competitors “cherry picking” the customers. When you work with the Graybeards, we make every effort to maintain the highest level of confidentiality. Secrecy can usually be maintained until the final stage of a deal. We can be presented as “Consultants” not brokers which raises very little curiosity. That’s why you need the Graybeards. We will locate the buyers who are the best fit in most deals and, if we don’t know, we’ll find out. We will present your company to as many as 5000 prospective buyers, in strictest confidence, without identifying who you are. Typically there can be 20 or more interested buyers from which to choose. We want to help you get highest possible price for your company when you sell. Getting you the best deal is our only job. Your Customer Files Keep neat, clean and well organized customer files. Have a defined policy on file content and handling protocols. Personally review every file, paying particular attention to the contract. If the file is not right send it back to whoever was responsible and have it corrected. Purge useless or redundant information periodically. If possible maintain a computerized database with information on the individual contracts showing who has which contract revision and which contracts contain modifications. A purchaser will want to review all modified contracts and it will be much easier if you have an electronic database. Consider fireproof storage for customer contracts. They represent the value of your company. Electronic document storage could be another option with the original paper copies stored securely off-site. Tip of the Day Contracted services such as maintenance agreements may yield a lower multiple than pure monitoring since they have a higher cost of providing the service.
