Brasch Industries, Inc., DBA Acceptance Alarm, Acquired by Counterforce USA

Long Grove, IL, April 21, 2004 — On March 29, 2004, after months of intense negotiations, Brasch Industries, doing business as Acceptance Alarm of Detroit, MI, sold its assets to Counterforce USA.

In an effort to expand on its growing operational base in Detroit, MI, Counterforce USA acquired all of the assets of Acceptance Alarm in a complicated transaction involving S.A.F.E. and General Electric Finance. The transaction was done by Ron Davis, Managing Partner of Davis Marketing Group. In a comment on the transaction, Davis had this to say: “It’s amazing how good things can happen when everybody is working towards the same goal.”

Linda Lindroff, President of Acceptance Alarms, represented the company in its negotiations, and Bob Breen, Vice President of Chubb/Counterforce USA, handled the transaction for Counterforce. Multiples in the transaction were not discussed, but were consistent with other acquisitions by Counterforce USA.
